I. GIVEAWAY PERIOD:
The HAPRIO Film-Viewing Gift Giveaway (“Giveaway”) begins 12:01 a.m. Eastern Standard Time, October 1, 2024 (“Start Date”), and ends once the first 20 qualifying entries are received (the “Giveaway Period”). The first 20 people to reply to the Hass Avocado Board’s Giveaway email will win. Participation constitutes a participant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding on all matters related to the Giveaway.

II. HOW TO PARTICIPATE IN THE GIVEAWAY:
An individual will be deemed a participant (“Entrant” “Participant” or “you”) in the Giveaway if eligible and enters the Giveaway via the following Method (1) of Entry:

1.) Free Hass Avocado Board’s October 1, 2024 Giveaway Email Reply Method of Entry: Eligible participants must reply to the official Giveaway email sent by the Sponsor, one time only, with their full name, and a valid phone number. Only the first 20 eligible replies will receive the prize. Limit one entry per person. The use of multiple email accounts or methods to enter more than once will disqualify the participant.

Internet Entries must be made by the Participant only via the aforementioned method of entry. Sponsor reserves the right, in its sole discretion, to void any and all Entries of a Participant that submits more than the stated maximum limit of Entries by using multiple/different addresses, identities, or any other methods, or who Sponsor believes has attempted to tamper with, influence or impair the administration, security, fairness, or proper play of this Giveaway. Proof of entering information is not considered proof of delivery to or receipt by Sponsor of an Entry. The use of automated Entry devices is prohibited, and no mechanically reproduced Entries are allowed; all such Entries are void. Released Parties are not responsible for: lost, late, incomplete, illegible, incorrect, damaged, delayed, garbled, undelivered, or misdirected Entries, will be disqualified. All Entries become the exclusive property of Sponsor and will not be acknowledged or returned.

If a Participant opts to enter via his/her wireless mobile device (which may only be available via participating wireless carriers and is not required to enter the Giveaway), standard text messaging and/or data rates may apply for each message sent or received from your handset according to the terms and conditions of your service agreement with your wireless carrier. III. WINNERS DETERMINATION:
The first twenty (20) eligible replies to the Giveaway email will be selected as winners. Potential Winners will be notified by e-mail on or about October 21, 2024. If the potential Winner does not respond within two (2) business days of the initial notification, or does not respond with complete contact information as requested by email, or found to be ineligible, cannot or does not comply with these Official Rules, or if his/her prize or prize notification is returned as undeliverable, such potential Winner will be disqualified and an alternate potential Winner may be selected at Sponsor’s sole discretion.

IV. PRIZE (“Prize(s)”):

The first 20 eligible replies will receive a film-viewing gift valued at $50 each. Prizes are non-transferable and cannot be exchanged for cash or other items. Total Prize Pool is $1,000.00 (USD).

V. PRIZE TERMS AND CONDITIONS:
All federal, state and local laws and regulations apply. The value of the Prize may be taxable as income and the potential Winners are solely responsible for all matters relating to the Prizes, including, but not limited to all applicable federal, state and local taxes that become due with respect to the Prizes.

A Winner is not eligible to receive a Prize until verified in accordance with these Official Rules, and the Winner has fully complied with these Official Rules. Failure to comply with these Official Rules may result in disqualification from the Giveaway. A Prize Winner’s acceptance of the Prize offered constitutes permission (except where prohibited) for the Sponsor to use said Winner’s name in all forms of media, in perpetuity, without notice or further compensation. The Winner agrees to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all respects.

VI. LIMITATIONS OF LIABLILTY:
Sponsor reserves the right in its sole discretion to terminate, modify or suspend the Giveaway in whole or in part because of any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications,  equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Giveaway by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsors’ control (each a “Force Majeure” event or occurrence).

Sponsors also reserve the right, in their sole and absolute discretion: (a) to modify, suspend or terminate the Giveaway should causes beyond Sponsors’ control corrupt or interfere with the administration, integrity, operation, security or proper play of the Giveaway; or (b) to disqualify any Participant found to be, or suspected of: (i) tampering with the Entry process or the operation of the Giveaway; (ii) acting in violation of these Official Rules; or (iii) acting in an un-sportsmanlike manner.  If for any reason, this Giveaway is not capable of running as planned due to infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor, which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Giveaway, the Sponsor reserve the right, at their sole discretion, to disqualify any individual who tampers with the Entry process (if applicable), and to cancel, terminate, modify or suspend the Giveaway, in whole or in part, at any time, without notice and award the Prize using all non-suspect eligible Entries received as of the termination/suspension date.  Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. The Sponsor also is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure or delay of any e-mail or submission to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof.  Sponsor is not responsible for any damage to a mail provider system, which is occasioned by participating in this Giveaway or by downloading any information necessary to participate in the Giveaway.  Sponsor is also not responsible for incorrect or inaccurate Entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Giveaway or by any technical or human error, which may occur in the processing of the Entries in the Giveaway.  If any provisions of the Official Rules are determined by a court of competent jurisdiction to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision. By entering the Giveaway, you hereby authorize the Sponsor the right to collect, use, process, transfer and store all data provided by you, including without limitation, personal data, that the Sponsor deems necessary. VIII. RELEASES:
All Participants, as a condition of participation in the Giveaway, agree to indemnify, release and hold harmless Released Entities from and all liability, claims, damages, injuries or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with: (a) participating in any aspect of the Giveaway; or (b) the receipt, ownership, possession, use or misuse of any Prize awarded

IX. GOVERNING LAW/DISPUTES:
Except where prohibited, as a condition of participating in this Giveaway, Participants agree that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of, or connected with this Giveaway, or any prizes awarded, or the determination of Winner shall be resolved individually (without resort to any form of class action and with the understanding and agreement that these Official Giveaway Rules shall apply), and shall be submitted to arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will Participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Participant’s actual out-of-pocket expenses (e.g., costs associated with entering this Giveaway), and Participant further waives all rights to have damages multiplied or increased. The arbitration shall be conducted in the State of California, in the City of Mission Viejo, County of Orange, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. In the event that arbitration is prohibited, in a particular state/territory then any such claim shall be brought and maintained in the federal or state courts of the State of California, in the City of Mission Viejo, County of Orange. Any dispute or claim arising out of the entry of this Giveaway, or any disputes with site users which arise as a result of the use of this website, shall be governed by the laws of the State of California, without respect to conflicts of laws principles.
